How it works

  1. Tell us about your plan. Your country, what the company will do, and who the owners are.
  2. Name and registered agent. We check the name against the Wyoming register and appoint the registered agent every Wyoming company must have.
  3. We file online. The Articles of Organization go to the Wyoming Secretary of State. The company exists as soon as the online filing is complete.
  4. EIN and operating agreement. You get an Employer Identification Number without a Social Security number, and a written operating agreement.

Can I form a Wyoming LLC if I do not live in the United States?

Yes. Wyoming's Articles of Organization need an organizer, a registered agent with a physical Wyoming address, and the company's addresses. They do not ask where the owners live. Banks and payment providers set their own rules for foreign owners, and those are separate from forming the company.

Do I need a Social Security number?

No. For the EIN, IRS Form SS-4 tells foreign applicants without an SSN or ITIN to write "foreign" on line 7b. See EIN without an SSN.

Will I pay US income tax?

It depends on the facts, and this site cannot decide that for you. Wyoming itself has no income tax, but the federal rules treat income connected with a US trade or business differently from other income. A foreign-owned LLC also has an IRS information filing. Speak to a US tax professional.

Do I still owe tax in my own country?

Very likely you must still follow your country's rules on foreign income, foreign companies and moving money abroad. Those rules are the reason we have separate country guides.

Can you guarantee a US bank account?
